Members of partnerships and director shareholders will usually enter into partnership or shareholder agreements. These often provide for what will happen in the event of the death before retirement of any partner or director. However, care must be taken that the agreement does not infringe the rule in IHTA 1984, s 113 that a binding contract for sale has been entered into.
