In the case of Terrell v Mabie Todd1, which concerned two licence agreements relating to invention and designs and a ‘best endeavours’ obligation, it was held the obligation of the licensee was at least that of taking reasonable steps to exploit the inventions and designs, having regard both to the interest of their shareholders
